As Senior Contracts Manager, Complex Contracts, Research & Development you are part of Roche Global Procurement and you will be a member of the Risk, Contracts & Compliance team in the Professional Services Contracts group focusing on supporting Third Party Risk Management processes including contract drafting and negotiation.  The position is located in Welwyn.

Through collaboration with our external suppliers and internal business partners, Global Procurement helps bring innovative tests and medicines to patients.

The Senior Contracts Manager, Complex Contracts will report directly into the Senior Contract Manager, Complex Contracts and will support the Complex Contracts sub-team in the Risk, Contracts & Compliance team. The Senior Contract Manager is accountable for aspects of the end-to-end Complex Contracts, R&D contract process operations (including contract request validation, drafting, negotiation of legal terms, quality control, legal approval, execution into repository, template development and maintenance), process health monitoring and improvement, data & reporting for budget, resourcing and delivery against customer and/or stakeholder Service Level Agreements (SLAs). In day to day operations time and effort is required to manage moderate number of cross-divisional global, regional and local procurement stakeholders. Additionally, time and effort is required to work with broad range of functional stakeholders. The Senior Contract Manager moderates alignment across capability teams in the Complex Contracts, R&D function, supported by direct reports. As required, the job holder drives or supports the roll-out of specific Third Party Risk Management processes.

1. Core accountabilities 
●    Teamwork and collaboration - Foster teamwork and create a work culture that values collaboration across relevant functions, including functional service providers
●    Lead Service Delivery - Lead end-to-end Complex Contracts, R&D scope of services, prioritization, operations and delivery responsibility. Ensure sustainable continuous improvement of quality, efficiency and effectiveness of service scope. 
●    Negotiations - Demonstrate mastery in the field, expert negotiation and/or influencing skills and the ability to apply knowledge and expertise in new situations and provide guidance to direct reports in this area. Ensure negotiations are authorized and planned following applicable legal and compliance requirements and policies are within limits of delegated/contractual authority. Provide analysis and advice to Procurement professionals and business partners (non-sourceable) in negotiations of complex legal and business terms.
●    Contract Drafting - Proven ability to draft contractual provisions based on strategy discussions, stakeholder input, and organizational needs and expectations.
●    Legal and Compliance - Discuss and clearly explain complex terms and conditions. Guide other professionals and advise or influence senior business partners. Obtain extensive delegation of authority from Legal/Law to approve most clauses. Demonstrate expert knowledge of legal, compliance and/or 3rd party risk management concepts (as applicable) including ability to identify functional area specific risks (e.g. privacy, anti kickback, GCP/cGMP, insurance, EHS/SHE, government pricing, PhRMA Code of Conduct, Product Complaint, Sunshine Act, DSCSA, etc).  
●    Comply with HCP/HCO related compliance (applicable to iHCP Coordinator Role Team Lead) - adherence to related Roche Directives, ensure cross-border engagements are appropriate handled through relevant systems, support and advise internal and external stakeholder on affiliate regulations in the HCP/HCO area, support transparency reporting efforts
●    Decision-making - Accountable for decisions that could significantly impact company or multiple functions where erroneous decisions would result in failure to achieve major goals and objectives of the organization. Directs others in application of risk tolerance and decision-making strategy in accordance with authority delegated by applicable Legal entity and R&D Contracts Head.
●    Strategic planning - Align with wider RC&C team, Procurement and the business leadership vision and strategy. Ensure that annual goals and objectives are clearly articulated and carried out by direct reports and that shared business objectives are executed across the applicable R&D teams. 
●    Ensure consistent delivery strategy - Work closely with and lead direct reports to ensure end to end contract service offering is fit for purpose and in alignment with leadership strategy. Ensure the execution of end-to-end process is robust and is established as a way of effectively supporting the needs of key business partners. Continuously monitor and further develop service quality, efficiency and effectiveness and lead or support continuous improvement initiatives.
●    Analyze change impact - Ensure that impact of service delivery changes are fully understood and considered before changes are implemented.
●    Drive service delivery change initiatives - Support process changes in alignment with Contracting GBPM and R&D Contracts Head where needed.
●    Ensure Quality and Process Adherence - Manage process adherence to what is designed and build competency in direct reports to execute the end-to-end process. Identify and support compliance corrective actions in alignment with Contracting GBPM or applicable business stakeholders. Responsible for measuring and reporting metrics and KPIs for in scope service deliverables.
●    Ensure timely communication and reporting - Be accountable for contracting related communication in dedicated contract area and service delivery reporting (e.g., throughput, coverage).
●    Contribute to team specific risk mitigation - Responsible for ongoing monitoring and mitigation of risks in specific contracting area. Understand principles of fair market value and where applicable, support fair market value assessments.
●    Drive issue resolution - Drive resolution of Complex Contracts, R&D  issues with Category and Regional teams including managing engagement with local legal and compliance functions. Ensure operational issue escalation path is clear and managed at the most effective levels, providing coaching and support as required to resolve. 
●    Implement best practice - Research industry, Procurement and best practice Complex Contracts, R&D trends and participate in industry specific committees (where appropriate) to ensure the Roche Complex Contracts, R&D service achieves or maintains competitive advantage.
●    Represent Roche and /or Procurement - Utilize formal and informal networks to drive Complex Contracts, R&D service delivery harmonization across categories and regions. Develop knowledge of the processes, needs/requirements and goals of core business partners. Develop a business partner relationship management strategy and leverage opportunities for Category Management involvement where appropriate. 
●    Develop and enhance capability owned Operating Model Enablers (frameworks, playbooks and templates) - Ensure requirements are defined and validated to be incorporated into owned operating model enablers. Work with enabler user community stakeholders to ensure development, enhancement, implementation and overall governance
●    Capability (sub)team budgeting and resourcing - Contribute to development and delivery of overall (sub-) capability team budgets and resources required to support the annual operating activities and service level agreements as part of the annual budgeting cycle.  
●    Drive documentation and knowledge sharing - Capture and make accessible relevant contracting service offering documentation and communicate through established stakeholder communities. Work closely with relevant Category and Region teams to ensure alignment. Provide content input and delivery support for process specific training

Your Qualifications:
●    JD or paralegal credentials or equivalent experience
●    Extensive years related business experience, and JD, PhD, or Masters
●    Demonstrated leadership, stakeholder influencing/management and negotiation skills, including influencing without authority
●    Demonstrated expert knowledge of legal, compliance and/or third-party risk management
●    Strong technical skills including Legal and Compliance subject matter expertise with increased delegation of authority
●    Excellent contract drafting and negotiating skills
●    Strong analytical and contract administration skills, verbal and written communication skills, and the ability to interact effectively with internal and external business partners.
●    Project / program management experience in complex multidisciplinary context
●    Demonstrated experience driving for results and the ability to engage and deliver through others 
●    High degree of dedication, motivation and ability to work under pressure 
●    Business level fluency in English
●    Knowledge of Roche Procurement and business stakeholder policies and processes 
●    Additional specialized professional legal, compliance or procurement-related certifications (e.g. IAPP Privacy Certification, C.P.M.  or equivalent)
●    Experience working in global environment
●    Process optimization experience or training
●    Skilled facilitator and presenter
