Zwingenberg, Germany, 4 June, 2020. B.R.A.I.N. Biotechnology Research and Information Network AG ("BRAIN", or the "Company") announced today its completion of a successful capital increase raising approximately EUR 15 million (the "Capital Increase"). In the course of the capital increase, BRAIN placed approximately 1.8 million additional new registered shares with no par value with institutional investors by way of an accelerated bookbuilding. Each such share has a notional value of EUR 1.00 of the Company's share capital (the "New Shares"), representing approximately 10 % of the Company's issued and outstanding share capital prior to the Capital Increase. The New Shares have been placed at an issue price of EUR 8.30 per New Share. The Management Board of the Company, with the prior approval of the Company's Supervisory Board, resolved to approve the Transaction and to issue the New Shares. BRAIN's main shareholder also participated in the Capital Increase.

The New Shares are expected to be admitted to trading without a prospectus on 9 June 2020, and on 11 June 2020 (the "Closing Date"), included in the quotation of the existing shares on the regulated market of the Frankfurt Stock Exchange (Prime Standard).
