Grünenthal Announces Pricing of €300 Million Bond

Grünenthal GmbH (the “Company”) today announced the pricing of €300 million aggregate principal amount of 6.75% senior secured notes due 2030 (the “Notes”). The Notes will be issued at 100%. The Notes were offered outside the United States in reliance on Regulation S under the Securities Act of 1933, as amended (the “Securities Act”). In the United States, the Notes were offered only to qualified institutional buyers pursuant to Rule 144A under the Securities Act.
The Notes were rated ‘BB+’, ‘BB-‘ and ‘B1’ by the three major independent credit rating agencies Fitch Ratings, Standard & Poor's and Moody’s Investors Service respectively.
This new financing will enhance Grünenthal’s capital structure and its maturity profile. The Notes will provide additional flexibility for the company’s strategy implementation and growth plans. The Company will use the proceeds from the Notes mainly to refinance its €200 million loan facility established in 2022 to partially fund the Nebido™ acquisition, as well as to refinance its €75 million promissory notes.
This Notes issue follows on from Grünenthal successfully extending the maturities of its €500 million revolving credit facility earlier this year. The offering of the Notes is expected to close on 25 April 2023.
